TERMS OF USE

1. Contractual Relationship and Acceptance

This document is an electronic record in terms of the Information Technology Act, 2000 and rules there under as applicable. This Platform (www.stylesavvys.com) is owned and operated by Simfex Digital Private Limited, with its registered office at Plot No. G-47, Sector 6, Noida, Uttar Pradesh - 201301.

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must cease use of the Platform immediately.

2. Platform as an Intermediary

StyleSavvys operates as an "Intermediary" in the form of an online marketplace. The Platform is a venue where Users meet and interact for their transactions. StyleSavvys is not a party to the actual contract between Buyers and Sellers. We do not have control over the quality, safety, or legality of the items advertised or the ability of sellers to sell items.

3. Membership Eligibility

Use of the Platform is available only to persons who can form legally binding contracts under the Indian Contract Act, 1872.

• Minors: If you are under 18, you may use the Platform only under the supervision of a parent or legal guardian.

• Account Suspension: StyleSavvys reserves the right to terminate your membership if it is discovered that you are under 18 or otherwise incompetent to contract.

4. User Account, Password, and Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to:

• Immediately notify StyleSavvys of any unauthorized use of your account.

• Ensure that you exit from your account at the end of each session. StyleSavvys cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.

5. Electronic Communications

When you use the Platform or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically (SMS, E-mail, WhatsApp, or App Notifications). This satisfies any legal requirement that such communications be in writing.

6. Platform for Transaction and Communication

• Commercial Terms: All commercial/contractual terms are offered by and agreed to between Buyers and Sellers alone (Price, shipping, payment methods, date, period, and mode of delivery).

• No Warranty: StyleSavvys does not implicitly or explicitly support or endorse the sale or purchase of any products on the Platform.

7. User Obligations and Conduct

You agree, undertake, and confirm that Your use of the Platform shall be strictly governed by the following binding principles:

·       You shall not host, display, upload, modify, publish, transmit, store, update, or share any information that:

·       Belongs to another person and to which the user does not have any right.

·       Is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy, including bodily privacy, insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable.

·       Is in contravention with any prevailing laws, statutes, or regulatory provisions for the time being in force.

·       Is otherwise deemed unfit, inappropriate, or harmful by StyleSavvys in its sole and absolute discretion, where such content or conduct is perceived to jeopardize the integrity, reputation, or security of the Platform and its stakeholders.

·       You shall not use any "deep-link", "page-scrape", "robot", "spider" or other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Platform or any Content.

8. Intellectual Property Rights

All content included on the Platform—such as text, graphics, logos, images, and software is the property of Simfex Digital Pvt. Ltd. or its content suppliers.

• Trademarks: The "StyleSavvys" name and logo are protected trademarks.

• Limited License: You are granted a limited license to access and make personal use of this site, but not to download or modify it without express written consent.

9. Privacy and Data Protection

Our Privacy Policy (incorporated here by reference) governs the collection and use of your personal data. We comply with the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011.

10. Charges and Fees

Membership on the Platform is currently free. However, StyleSavvys reserves the right to introduce fees for specific services. Any such changes will be posted on the Platform and become effective immediately upon posting.

11. Payment Facility

The Platform utilizes third-party payment providers (PayU/PhonePe).

• No Liability: StyleSavvys is not liable for any loss or damage arising directly or indirectly to you due to: (a) Lack of authorization for any transaction; (b) Exceeding the preset limit; (c) Any payment issues arising out of the transaction.

• PCI-DSS: All payments are processed through PCI-DSS compliant gateways.

12. Return and Replacement Policy

The StyleSavvys Return/Replacement Policy is designed to protect users. Returns are subject to:

• The product being in original condition with all tags attached.

• The request being raised within the "Return Window" specified on the product page.

• Category-specific exclusions (e.g., innerwear or customized items).

13. Buyer Protection Program

If a Seller fails to deliver or delivers a product that is not as described, the Buyer is protected under our Dispute Resolution program. StyleSavvys will mediate to ensure a refund or replacement is processed by the Seller.

14. Disclaimer of Warranties and Liability

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" BASIS. SIMFEX DIGITAL PVT. LTD. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANT ABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

15. Indemnity

You shall indemnify and hold harmless StyleSavvys, its directors, agents, and employees from any claim or demand, including reasonable attorneys' fees, made by any third party due to your breach of these Terms or your violation of any law.

16. Limitation of Liability

In no event shall StyleSavvys be liable for any indirect, incidental, special, or consequential damages (including loss of profits) arising out of or in connection with the use of the Platform.

17. Profanity Policy

StyleSavvys does not permit the use of profanity or inflammatory language in reviews, feedback, or public forums on the Platform. Violation may lead to account suspension.

18. Infringement Policy (IPR)

StyleSavvys respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please follow our IPR Takedown Procedure via the Grievance Officer.

19. Force Majeure

StyleSavvys shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, or acts of civil or military authorities.

20. Termination

StyleSavvys reserves the right, in its sole discretion, to unilaterally terminate your access to the Platform and the related services or any portion thereof at any time, without notice, for reasons including but not limited to:

·       Breach of Agreement: Any violation of these Terms of Use or the Privacy Policy.

·       Legal Contravention: Conduct that is in contravention of the Information Technology Act, 2000, the Consumer Protection (E-Commerce) Rules, 2020, or any other applicable central or state legislation.

·       Regulatory Compliance: Any instruction or order from a statutory authority, law enforcement agency, or judicial body.

·       Protection of Interest: Any other reason that deems fit to StyleSavvys, including but not limited to suspicion of fraudulent transactions, unauthorized access, or activities that StyleSavvys perceives as a threat to the safety of its users, sellers, or the general public.

StyleSavvys’ right to terminate shall be without prejudice to any other legal or equitable remedies available to Simfex Digital Private Limited for the recovery of losses, damages, or business interruption.

21. Governing Law

These Terms of Use shall be governed by and interpreted and construed in accordance with the laws of India.

22. Jurisdiction

The place of jurisdiction for all disputes arising out of these terms shall be exclusively in Noida/Gautam Buddh Nagar, Uttar Pradesh.

23. Modification of Terms

StyleSavvys reserves the right to make changes to the Platform, policies, and these Terms of Use at any time. Your continued use of the Platform following any changes will mean that you accept and agree to the revisions.
